Northeastern Nevada Rifle & Pistol Assoc. By-Laws

Adopted Monday June 17th 2002

The name of this club shall be Northeastern Nevada Rifle & Pistol Assoc. (NNRPA)

To encourage, organized rifle and pistol shooting among the citizens of the United States resident or visiting our community, with a view toward a better knowledge on the part of such citizens in the safe handling, proper care of firearms, and improved marksmanship. We will promote honesty, good fellowship, self-discipline, and self-reliance, to further good sportsmanship, and patriotism.

Section A. Limitations and Procedures

The NNRPA shall not establish a limit on the number of members.

Membership in the NNRPA shall not be restricted on the basis of race, nationality, sex, or religion.

All members of the NNRPA in good standing shall have: one (1) vote in each election; one (1) vote for each motion put to the question at any general membership or special meeting. (The member must be present at meeting to vote)

Section B. Application for Membership in NNRPA

The necessary dues payable shall accompany applications for membership annually by the annual membership meeting.


Section C. Suspension or Expulsion of a Member of the NNRPA.

File Charges Any member who seeks the removal of an officer or the suspension or expulsion of a member must file a written charge with the Secretary. The charge must clearly state the facts and be accompanied by all supporting evidence. The Secretary shall immediately inform the President, who shall set the date of a special meeting to hear the charges.

MEETING NOTICE... The Secretary shall give written notice of the special meeting to all Active Members by mail. The notice shall contain the time and place of the meeting and a statement of the charges. It must be postmarked at least 15 days before the meeting.

HEARING... An officer may be removed from office or a member suspended or expelled from membership only upon the 2/3 vote of the Active Members present at the special meeting called for this purpose. Charges and evidence will be presented, any witnesses examined and the concerned member given the opportunity to refute them before the vote is taken.

Section A. Annual Dues

The Board of the NNRPA shall determine if the amount of the annual dues needs adjustment, develop justification for the adjustment (if any), notify the membership that the amount of the annual dues will be decided at the next meeting, and present the board痴 recommendations at the general meeting. The size of the adjustment (if any) may be modified by the membership present at the meeting and may be passed by a majority vote.

Section B. Refund of Annual Dues

Annual dues paid by NNRPA members are not refundable.

Section C. Other Fees.

The Match Committee痴 of the NNRPA shall determine the amount of fees for their matches.

Section D. Said corporation is organized exclusively for charitable, educational, religious or scientific purposes, within the meaning of section 501(c)(3) of the Internal Revenue Code (or corresponding section of any future Federal tax code.)


No part of the net earnings of the corporation shall inure to the benefit of, or be distributable to its members, trustees, directors, officers or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of section 501(c)(3) purposes. No substantial part of the activities of the corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate in, or intervene in (including the publishing or distribution of statements) any political campaign on behalf of or in opposition to any candidate for public office.


Not withstanding any other provision of these articles, the corporation shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from Federal income tax under Section 501(c)(3) of the Internal Revenue Code (or corresponding section of any future Federal tax code) or (b) by a corporation, contributions to which are deductible under Section 170(c)(2) of the Internal Revenue Code (or corresponding section of any future Federal tax code.)


Upon dissolution of this corporation assets shall be distributed for one or more exempt purposes within the meaning of Section 501(c)(3) of the Internal Revenue Code, i.e. charitable, educational, religious or scientific, or corresponding section of any future Federal tax code, or shall be distributed to the Federal government, or to a state or local government for a public purpose.

Elected Officers

Section A. Elected Officers

The elected officers of the NNRPA shall be President, Vice President, Secretary, Treasurer, and one Board member at large.


Section B. Elections.

Election of officers will take place at the annual meeting; the majority of the members present at such meeting will vote officers in. A member may mail or fax a signed letter of proxy to the club Secretary in place of their presence. The person named as proxy must be present at the election meeting, and letter of proxy must state person to be voted for or that vote is left to the discretion of the proxy holder.


Section E. Duties of the Elected Officers.

1. President.

The president: is the official spokesman for the NNRPA; serves as chair for general membership meetings; appoints committee members and chairmen in accordance with the by‑laws; is responsible for seeing the NNRPA master budget is adhered to; keeps track of past current and new business; forms meeting agendas or oversees the formation of agendas by person appointed by him/her; and serves as chairman of the board of directors.

2. Vice President

The Vice President serves in place of President during his/her absence, all duties inclusive.

2. Secretary.

The secretary: keeps minutes of each meeting and maintains a permanent file of the minutes. They keep a record of all members in good standing and accept membership applications; keep a permanent record of all amendments to the NNRPA by laws, standing rules and maintains a supply of up to date copies of the NNRPA by laws and standing rules. They also inform members of the NNRPA of all meetings and activities.

3. Treasurer

The treasurer controls the NNRPA funds and pays all bills; keeps permanent financial records and receipts of all business transactions of the NNRPA; submits a verbal or written financial report at each meeting, and submits a written financial report to be kept with the minutes as a permanent record. Reimbursements will be paid out after approval at a regular meeting.

6. Permanent Records of the Secretary and Treasurer

Records of the secretary and treasurer will be turned over to the incoming officer at the beginning of their term.

Board of Directors

Section A. Composition of the Board of Directors

The elected officers of the NNRPA shall constitute the board of Directors.

Section B. Meetings

1. General membership meetings

General membership meetings may be held monthly at the call of the president. A quorum shall consist of a majority of those present at such meetings.

Section C. Authority

The board of directors shall conduct the affairs of the NNRPA during the periods between general membership meetings in accordance with the by laws of the NNRPA and the motions passed by the general membership.

Section D. Quorum for Board of Directors Meetings

Three members of the board shall constitute a quorum. Each member of the board shall have one vote for each motion put to the question at a board meeting.

Section E. Replacement of a NNRPA Officer

Should an officer of the NNRPA die, resign, or be removed from office, a special election will be held to fill the vacancy.

Section A. Shooting committee

The shooting committee of the NNRPA shall consist of the leaders of each shooting practice that actually hold matches under NNRPA.

1. The committee members shall design and approve the NNRPA matches for their respective type of match.

2. The committee shall do an inventory of all materials and match equipment with notations on the condition of the club match equipment at least annually.

3. Each shooting practice will have at least one trained and certified Range Safety Officer presiding over a match.

Competition Rules

Section A. USPSA/IPSC approved matches

The most recent edition of the Practical Shooter handbook published by the USPSA/IPSC shall govern all USPSA/IPSC approved matches hosted by the NNRPA.

Section B. Other NNRPA approved activities.

All matches hosted by the NNRPA shall be governed by the safety rules of the governing entity of that shooting practice.

Section A. Amending the by-laws

These by laws may be amended by a member submitting a written document consisting of the text of the amendment(s) and the justification for the by law change to the board of directors. The board of directors shall evaluate the change, obtain advice if necessary, and submit the proposed by law change to the membership at the next general membership meeting along with all advice obtained and the board痴 recommendation. At that meeting any member may offer a motion to propose the amendment change. If seconded and passed by a majority of the members present at the meeting the board shall notify all members of the NNRPA 30 days prior to the subsequent general membership meeting as to the wording of the proposed by law change and that a motion to change the by law shall be voted on at the upcoming general membership meeting. At that subsequent general membership meeting, after a motion to change the by law, a second, suitable debate, and a majority vote of the membership the by law change shall take effect immediately.

Except where specifically stated otherwise in these by laws the NNRPA shall be guided by 迭obert痴 Rules of Order - Revised
